Partner Program Terms

These Partner Program Terms ("Partner Terms") are a contract between Nextsense Solution FZC LLC ("PixlBridge", "we"), CWS-2V-195841, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates, and the person or company that applies to the PixlBridge partner program ("Partner", "you"). They govern the program described on the partners page. By applying you accept them. If you also use PixlBridge for your own business, the Terms of Service apply to that use.

1. Words used in these terms

  • Referral link: your personal link with your code, such as pixlbridge.com/?ref=yourcode.
  • Referred Customer: a business credited to you under Section 5.
  • Net Revenue: the money we actually receive from a Referred Customer for a PixlBridge subscription, after discounts and excluding taxes, as described in Section 4.
  • Affiliate: a Partner who refers customers. Business developer ("BD"): a Partner we have appointed to lead a team of Affiliates.

2. Eligibility and approval

  • You must be at least 18 and able to enter a contract. If you apply for a company, you confirm you may bind it. Give accurate information and keep it up to date.
  • One partner account per person or company. We review each application and may approve or reject it at our discretion, without giving a reason.
  • Affiliates who join through a BD's invite link are approved automatically and placed in that BD's team. Only we can make a Partner a BD.
  • Before paying you we may ask for information needed to verify your identity, your payout details or your tax status.

3. Commission rates

  • Affiliates earn 15% of the Net Revenue from each of their Referred Customers.
  • Business developers earn 15% of the Net Revenue from their own Referred Customers, and an override of 5% of the Net Revenue from the Referred Customers of the Affiliates in their team. The override is paid by PixlBridge and is not taken from the Affiliate's 15%.
  • Commission is earned on every payment of a Referred Customer, for as long as that customer keeps paying for PixlBridge and your partner account is active and in good standing. A suspended or terminated account earns no new commission.
  • We may agree a different rate with you individually. The rate that applies to you is shown in your partner panel; it applies to commissions created from then on.

4. Money actually received

  • Commission is calculated only on money we actually receive, after any discount and excluding sales tax, VAT and similar taxes.
  • No commission is paid on free trials, the Free plan, payments of zero, taxes, credits, or amounts that are refunded or charged back.
  • For businesses that pay through their Shopify bill, Shopify does not report each payment to us individually, so commission is calculated on the plan's price for each paid Shopify billing period.
  • All commissions are calculated and paid in US dollars.

5. Attribution

  • When someone clicks your Referral link, we store your code in a cookie on their browser for 90 days. If they click another Partner's link later, the last click counts.
  • A business is credited to you when it signs up for PixlBridge within 90 days of the last click on your link, from a browser that still has the cookie, or with your code in the sign-up link. The credit is locked at sign-up and does not move to another Partner later, except when we correct an error or a breach of these terms.
  • We can't credit sign-ups that never used your link, including installs from the Shopify App Store without your link (the App Store does not tell us where a visitor came from), or visitors who block or clear cookies.
  • Our records decide which Partner a business is credited to and how much commission is due, unless there is an obvious error, which we will correct.

6. The customer discount

Businesses credited to a Partner get 10% off their first 3 paid months when they pay by card through PixlBridge. The discount does not apply to businesses that pay through their Shopify bill, because Shopify's billing cannot take a discount for one store. You may describe the discount only in these terms, and only while we offer it.

7. Hold, payouts and the minimum

  • Each commission is on hold for 30 days after the payment it comes from, in case the payment is refunded or disputed. After that it is ready to pay.
  • We pay once a month for all commissions that are ready to pay, when they total at least US$50. A smaller amount carries over to the next month.
  • We pay to the payout method saved in your partner panel. If no method is saved, or the details are wrong, the payment waits until they are fixed. If a transfer fails, the amount goes back to ready to pay.

8. Payment methods

We pay by bank transfer, Wise or Payoneer, whichever you choose in your partner panel. You are responsible for giving correct details. Charges your own bank or provider applies when you receive the money, and any currency conversion they make, are yours.

9. Taxes

You are responsible for reporting and paying all taxes on the commissions you receive, wherever you live. If the law requires us to withhold tax or to collect tax forms, we will do so, and we may hold payments until we receive what the law requires.

10. Refunds and chargebacks

  • If a payment from a Referred Customer is refunded or charged back, in full or in part, the commission on that amount is reversed.
  • If that commission was already paid to you, the same amount is deducted from your next payouts.
  • If we later win a dispute and keep the money, we may restore the commission.

11. How you may promote PixlBridge

Clearly disclose that you may earn a commission whenever you share your Referral link, as advertising and consumer-protection laws require. Describe PixlBridge, its prices and the customer discount accurately. You must not:

  • refer yourself: your own sign-up, any business you own or are a member of, or accounts created to earn commission on your own purchases are never credited;
  • bid on our brand: buy search or social ads on "PixlBridge", its misspellings or combinations with it, or use it in domain names, app names or social handles;
  • spam: send unsolicited emails or messages, post links in unrelated comments or groups, or use bought or scraped contact lists;
  • make misleading claims: invent features, results, prices, discounts or reviews, or promise people earnings;
  • stuff cookies: set our cookie without a real click on your link, for example with hidden frames, pop-unders, automatic redirects, browser extensions or adware;
  • impersonate PixlBridge: present yourself as PixlBridge, its staff or its support, or use our name and logo other than as provided in your marketing kit;
  • break the law or the rules of the platforms you promote on.

Commissions that come from a breach of this section are void. We may reverse them, and suspend or terminate your account.

12. Suspension and termination

  • You may leave the program at any time by writing to us. We may end your participation at any time with notice, or immediately for a breach of these terms.
  • We may suspend your account while we look into a suspected breach. While suspended you earn no new commission and are left out of payouts.
  • When your participation ends, commission stops on later payments. Commissions you earned before the end date and that are not affected by a breach are paid on the normal schedule, under Section 7. Commissions affected by a breach are forfeited.

13. Changes

We may change these terms, the rates, the customer discount or the program by giving you at least 30 days' notice by email or in your partner panel. Changes do not reduce commissions already earned. If you continue in the program after a change takes effect, you accept it; if you don't agree, you may leave.

14. Our relationship

You are an independent contractor. These terms do not create an employment, agency, partnership, franchise or joint-venture relationship. You may not make promises, sign contracts or accept payments on behalf of PixlBridge. While you are in the program we give you a limited, revocable right to use the PixlBridge name and the materials in your marketing kit, only to promote PixlBridge under these terms.

15. Limitation of liability

THE PROGRAM IS PROVIDED "AS IS". WE DO NOT PROMISE THAT YOU WILL EARN ANY AMOUNT, OR THAT THE PROGRAM OR TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING OUT OF THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS UNDER THESE TERMS IS LIMITED TO THE COMMISSIONS PAID TO YOU IN THE TWELVE MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, OR TO YOUR BREACH OF SECTION 11.

16. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates (Emirate of Ajman), excluding its conflict-of-law rules. The competent courts of Ajman, United Arab Emirates have exclusive jurisdiction. Before filing a claim each party agrees to attempt resolution in good faith for 30 days.
